Terms of Service

These Terms govern your use of the Astral website, web application, and related services (the "Service"). By creating an account or using the Service, you agree to these Terms. If you're using Astral on behalf of an organization, you represent that you have authority to bind it.
1. Account
You must be at least 16 years old to use the Service. You're responsible for keeping your credentials secure and for all activity under your account. Promptly notify us of any unauthorized access.
2. Acceptable use
You agree not to:
- upload content you don't have the right to use, or that infringes anyone's rights;
- upload content that is illegal, abusive, defamatory, or designed to harass;
- attempt to reverse-engineer, scrape, or interfere with the Service;
- use the Service to build a competing product, or to train a machine-learning model that competes with us;
- share your seat with another person or otherwise circumvent per-seat billing.
3. Your content
You retain all ownership rights to content you upload ("Your Content"). You grant us a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, and display Your Content solely as needed to provide the Service to you. We don't use Your Content to train models. The license ends when you delete the content or close your account, subject to short retention periods for backups and legal compliance.
4. Service availability
We aim for high availability but don't guarantee it. Maintenance, third-party outages, and incidents may interrupt the Service. Subscription plans don't include a financial SLA unless explicitly stated in writing for the Business tier.
5. Subscriptions and billing
The Service is offered on a free tier and on paid subscriptions billed monthly or annually. Paid plans renew automatically until cancelled. Fees are non-refundable except where required by law. Cancellation takes effect at the end of the current billing period; you retain access through that date.
Payment processing is handled by Stripe via Clerk Billing. We may change prices on at least 30 days' notice; changes apply at your next renewal.
6. Free tier
The free tier is offered at our discretion and may be subject to fair-use limits. We may suspend free accounts that are inactive for extended periods, after notice and a reasonable opportunity to export your data.
7. Termination
You may stop using the Service or close your account at any time. We may suspend or terminate your access if you materially breach these Terms, or if continued operation would expose us to legal risk. On termination, your right to access the Service ends, and we'll delete Your Content after a reasonable wind-down period unless legally required to retain it.
8. Disclaimer of warranties
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be error-free, uninterrupted, or that any clustering output will be accurate, complete, or suitable for any particular decision.
9. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, data, or goodwill. Our total liability for any claim relating to the Service will not exceed the greater of (a) the fees you paid to us in the 12 months before the event giving rise to the claim, or (b) US $100.
10. Indemnification
You agree to defend and hold us harmless from any claim arising out of your content, your use of the Service in breach of these Terms, or your violation of applicable law.
11. Changes to the Terms
We may update these Terms from time to time. If we make material changes, we'll notify active users by email or in-product notice. Continued use after the change becomes effective constitutes acceptance.
12. Governing law
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws provisions. Disputes will be resolved in the state or federal courts located in Delaware, and each party submits to their exclusive jurisdiction.
